1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Taskworks, an S-Corporation organized under the laws of the State of California ("Taskworks," "we," "us," or "our").

By accessing or using the Taskworks platform, website, or mobile application (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Taskworks is a business and personal operations platform that allows managers, business owners, and individuals to create tasks, assign them to team members, set recurring schedules, track task completion with photo and video documentation, monitor employee clock-in and clock-out activity, and export work logs and payroll data. The Service is intended for use by businesses of all sizes as well as individuals managing personal teams, household staff, or personal projects.

3. Beta Testing Phase and No-Charge Use

Taskworks is currently in a testing and development phase and is provided at no charge to registered users during this period. Access to the Service during the testing phase does not create any obligation on the part of Taskworks to continue providing the Service free of charge indefinitely.

Taskworks reserves the right to introduce paid subscription plans in the future. Registered users will be given advance notice of any transition to a paid model and will have the opportunity to review the new terms and choose whether to continue using the Service under those terms.

During the testing phase, the Service may be subject to interruptions, changes in features, and updates without prior notice. Taskworks appreciates your participation in testing and values your feedback.

4. Eligibility

The Service is open to users of all ages. Users under the age of 13 must have verifiable parental or legal guardian consent before using the Service and before any personal information is collected. Users between the ages of 13 and 17 should have parental or guardian awareness of their use of the Service.

By using the Service on behalf of a minor, a parent or legal guardian represents that they have reviewed these Terms and consent to their minor child's use of the Service and the collection of information as described in our Privacy Policy.

By using the Service on behalf of a business entity, you represent that you are authorized to bind that business to these Terms.

5. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify Taskworks immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Taskworks reserves the right to suspend or terminate your account at any time if we believe your account information is inaccurate, that you have violated these Terms, or for any other reason at our sole discretion.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable federal, state, or local law or regulation
• Upload or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe upon the intellectual property rights of any third party
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Collect or store personal data about other users without their knowledge or consent
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service in any manner that could damage, disable, overburden, or impair Taskworks systems
• Upload or distribute malicious code, viruses, or any software intended to damage or alter the Service
• Harass, bully, or harm any other user of the Service

Taskworks reserves the right to terminate your access to the Service immediately and without notice if you violate any provision of this section.

7. User Content

7.1 Your Content

The Service allows users to upload photos, videos, notes, and other content ("User Content"). You retain all ownership rights in your User Content. By uploading User Content to the Service, you grant Taskworks a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you.

7.2 Content Standards

You are solely responsible for all User Content you upload to the Service. You represent and warrant that your User Content does not violate any applicable law and does not infringe upon the rights of any third party. You further represent that you have obtained all necessary consents from any individuals depicted in photos or videos uploaded to the Service.

7.3 Content Removal

Taskworks reserves the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

8. Children's Privacy and Parental Consent

Taskworks takes the privacy and safety of younger users seriously and complies fully with the Children's Online Privacy Protection Act (COPPA) and all applicable California laws regarding minors.

For users under the age of 13, Taskworks requires verifiable parental or legal guardian consent prior to account creation and prior to the collection of any personal information. Parents or guardians of users under 13 have the right to:

• Review the personal information collected from their child
• Request correction or deletion of their child's personal information
• Withdraw consent for the continued collection of their child's information
• Request that their child's account be closed and data deleted

Taskworks does not knowingly collect personal information from children under 13 without verifiable parental consent. If we learn that we have collected personal information from a child under 13 without appropriate consent, we will delete that information promptly.

9. Intellectual Property

The Service and all of its original content, features, functionality, design, and software are and will remain the exclusive property of Taskworks. The Taskworks name, logo, and all related marks are trademarks of Taskworks. Nothing in these Terms grants you any right to use the Taskworks name or trademarks without our prior written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully before using the Service.

11. Third-Party Services

The Service may integrate with certain third-party services to support its functionality. Your use of any third-party services is governed by their respective terms of service and privacy policies. Taskworks is not responsible for the practices of any third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TASKWORKS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TASKWORKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. BECAUSE THE SERVICE IS CURRENTLY IN A TESTING PHASE, USERS ACKNOWLEDGE THAT FEATURES MAY BE INCOMPLETE, SUBJECT TO CHANGE, OR TEMPORARILY UNAVAILABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKWORKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF TASKWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE THE SERVICE IS CURRENTLY PROVIDED AT NO CHARGE, TO THE EXTENT PERMITTED BY LAW, TASKWORKS' TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

14. Indemnification

You agree to defend, indemnify, and hold harmless Taskworks and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to binding arbitration in the State of California in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

16. Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. Modifications to Terms

Taskworks reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date at the top of this document. We may also notify you by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

18. Termination

Taskworks reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Taskworks concerning the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
